How Ropes & Gray Is Developing AI for Transactional Diligence

OpenAI, Thursday, October 29th, 2026

Law firm Ropes & Gray is building a transactional diligence AI tool with OpenAI that takes a first pass through deal data rooms.

In this OpenAI customer story, law firm Ropes & Gray describes a proprietary AI tool for transactional diligence that it is developing with OpenAI.

The tool inventories a deal data room, groups related documents by theme and issue, and produces summaries and a report in the firm's own format, starting with material commercial contracts.

Lawyers compared test outputs with diligence reports written by lawyers on past deals to refine the rubric, and they still review all interim summaries and source documents before anything goes to clients.

The firm aims to produce issue-level reports in hours rather than weeks, and next wants AI to capture knowledge across its 1,500 lawyers.
